Terms of Service

These terms are the agreement between CDS Group Inc and the business using Pippin. Using Pippin means agreeing to them.

1. What Pippin is

Pippin is accounting and billing software for managed service providers. It keeps a double-entry ledger, issues invoices through Stripe, imports bank activity, tracks billable time, and produces reports and exports.

Pippin is not an accountant, and it is not advice. It records what you tell it and arranges it in the conventional way. Whether your books are correct, whether an entry is treated properly, and whether your filings are right remain yours and your accountant's responsibility. Nothing in the software or its documentation is accounting, tax or legal advice.

Pippin is also not a bank, a money transmitter or a payment processor. Money is handled by Stripe under your own agreement with them.

2. Who may use it

Access is currently by invitation. You must be at least 18, able to enter a contract, and using Pippin for a business rather than as a consumer. The person who accepts these terms must be authorised to do so on the organisation's behalf.

3. Accounts and access

Your organisation decides who may sign in and what each person may do, through roles you define. You are responsible for those choices and for what people do with the access you give them. Sign-in is by emailed link or Microsoft work account — there is no password for us to hold, and none for you to lose.

Tell us promptly if you believe an account has been used without permission.

4. Your data

Your books are yours. CDS Group Inc claims no ownership of anything you enter or upload. You grant us only the permission needed to run the service for you — storing it, processing it, backing it up, and sending it where you tell us to.

You are responsible for what you put in, including having the right to enter information about your clients, their staff and your employees, and for meeting whatever obligations you have to those people. How we handle it is set out in the Privacy Policy.

You can export everything at any time from Settings → Export, in formats any other system can read.

Pippin can connect to Stripe, Plaid, Addigy, Pax8, Jira, Google Drive and Microsoft OneDrive. Each is optional and each remains governed by your own agreement with that provider. We are not responsible for their availability, their pricing or their decisions — including a bank connection that stops working or a vendor that changes what it reports.

You are responsible for having the right to connect the accounts you connect.

7. Fees

Pippin is currently provided without charge to invited organisations. If that changes we will give at least 30 days' notice before any fee applies to you, and you may export your data and stop using Pippin rather than pay.

Fees charged by Stripe, Plaid or any other connected provider are between you and them.

8. Availability

We aim to keep Pippin running and to make maintenance uneventful, but we do not promise any particular level of availability, and there is no service-level agreement. We may change or discontinue features. If we ever discontinue Pippin entirely we will give at least 90 days' notice so you can export your books.

9. No warranty

Pippin is provided "as is" and "as available". To the fullest extent the law allows, CDS Group Inc disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Pippin will be uninterrupted, error-free, or that any calculation or report will suit a particular purpose.

10. Limitation of liability

To the fullest extent the law allows, CDS Group Inc is not liable for indirect, incidental, special or consequential damages, nor for lost profits, lost revenue, or lost or corrupted data. Our total liability arising out of these terms will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow these limitations, in which case they apply to you only as far as the law permits.

11. Keeping your own copy

Pippin has no restore. If your records are lost or wrongly changed, the copy you exported is what recovers them — which is why exporting is a button and why Pippin tells you when it has been too long since the last one.

Taking regular exports and keeping them somewhere you control is your responsibility, and the practical answer to the limitation above.

12. Ending it

You may stop using Pippin at any time. Ask us to close your organisation and we will delete its data within 30 days — export first, because we cannot recover it afterwards.

We may suspend or end access if these terms are seriously or repeatedly broken, or if required by law. Except where the law prevents it, we will tell you first and give you a chance to export.

13. Changes to these terms

We may update these terms. The date above will change, and we will give notice in the app before anything material takes effect. Continuing to use Pippin afterwards means accepting the new version.

14. Governing law

These terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. The courts of Maricopa County, Arizona have exclusive jurisdiction, and both parties consent to it.

15. Everything else

These terms and the Privacy Policy are the whole agreement between us about Pippin. If any part is unenforceable the rest still stands. Not enforcing something once does not waive it. You may not transfer these terms without our written consent; we may transfer them to a successor of our business.
